- American Choice Healthcare (ACH) is Cano Health’s Direct Contracting Entity (DCE), a CMS/CMMI program evolving from the Medicare Shared Savings Program model with a reimbursement model rewarding improved outcomes and decreased cost of care for Medicare patients who are not aligned to a Medicare Advantage plan.
- While maintaining leadership of the Corporate Development department, became Executive Director of American Choice Healthcare and led the roll out in preparation of an April 2021 go-live date. Implementation of ACH included:
o Development of deep understanding around DCE reimbursement model, benchmarking methodology, patient alignment methodology, network development framework and compliance requirements.
o Creation of downstream contracts and network development of Participating Providers, Preferred Providers and sub-networks of third-party MSOs and IPAs.
o Procuring technology, services and staff necessary to manage the ACH’s aligned Medicare population and deliver KPIs, financial data and utilization data to affiliated providers and internal stakeholders.
- Executed on organic growth strategy by training internal MSO/IPA operators and regional leadership in a company wide effort to recruit existing affiliated primary practice network and ancillary service providers into ACH. Negotiated risk sharing contracts with third party MSOs/IPAs, creating alignment of large populations within these sub-networks.

• Evolved department from initially processing a few small medical practice acquisitions in South Florida to managing a high-volume pipeline of acquisitions for multiple brands and lines of business across seven states with ~20 transactions in active diligence (post-LOI) and 20+ transactions in a valuation stage (pre-LOI) at any given time. Transactions range from single physician medical practices to scaled multi-site and multi-state organizations. The department’s key functions include:
o Driving pipeline growth by partnering with brand, regional and executive leadership to leverage relationships, managing outreach campaigns, and developing relationships with national and local sell-side brokers.
o Engaging and building trust with potential sellers while collecting source data and operational metrics to develop a mutually agreed upon management adjusted EBITDA, purchase price, and LOI deal terms.
o Managing due diligence process and third parties providing diligence support, including QoE, medical coding/reimbursement diligence, legal/regulatory diligence, and development of transaction documents.
o Developing pro forma financials including revenue and expense projections, CapEx budgeting, staffing projections, comparative KPIs, and sensitivity/scenario analysis.
o Presenting investment memorandum to executive team, PE sponsor, and/or investment bank prior to closing.
o Supplementing post-close integration by partnering with functional leaders throughout to ensure necessary institutional knowledge of the acquired asset is shared throughout the organization for a successful integration.

- Manage and support organic growth initiatives, including:
o Nationwide market analysis around Medicare Advantage patient density, socio-demographics, and value based contracting trends to rank optimal growth markets.
o Strategic partnerships with payers and healthcare organizations for support around entrance into new markets, including co-funding/branding, implementation of ancillary services and contract management.
o Partnerships with healthcare providers for the provision of services across Cano Health’s population to drive down cost of care while improving quality and outcomes. Relationships include negotiated reimbursement rates, per member capitation, or sharing in financial upside/downside around the cost of a service.
o Partnerships with MSOs, IPAs and Healthcare Systems where Cano Health provides population health management and care management services and tools to assist in the management of our partners’ patient population where Cano Health earns care coordination fees and shares in financial upside/downside around the population’s performance.
- Assisted Moelis in taking Cano Health to market, which resulted in participation of seven private equity suitors, including Advent and Bain, and Jaws Acquisition Corp, a SPAC led by Berry Sternlicht. The result of the process was Cano Health completing the $4.4B valuation PIPE investment and de-SPAC process with Jaws, initiating public trading under ticker CANO on the NYSE in June 2021.
- Prior to de-SPAC, supported private equity sponsor and finance team in periodic debt and equity investment processes by developing financial models, materials for presentations, and managing lender/investor request lists.
